JOHN A. CUELLAR

John Cuellar is chairman and president of Las Tres C's, Inc. He was previously senior vice president, general counsel, secretary and interim chairman of the board of El Chico Restaurants, a Dallas-based chain of 98 Mexican restaurants which operated in 14 states. During his tenure at El Chico, the company's market capitalization grew 16-fold from less than $3 million to $49 million. His responsibilities included coordinating the legal work for El Chico's public offering, which also involved his participation in the pre-offering "road show."

Previous responsibilities included administering El Chico's former parent company's real estate portfolio, consisting of approximately 300 leasehold premises located in 36 states, and leased by the 63 other subsidiaries of El Chico's parent company.

Additionally, Mr. Cuellar has served as a restaurant industry expert witness, testifying before the U.S. Congressional Committee on Small Business, on behalf of the International Franchise Association, the largest franchise association in the U.S.

Current and other business and civic responsibilities include the following. He serves on the board of United Community Bank, Highland Village, Texas, which grew from $4 million to $34 million in total assets within its first year of operation and currently has assets of $100 million. He is chairman of the Board of a company doing business as Tejano Mexican Restaurant, a location operating in Dallas since 1955. The August 2004 issue of D Magazine's "Best of the City" listing recognized Tejano as serving the best enchiladas in Dallas. The December 2004 issue of Texas Monthly Magazine recognized Tejano as "Where to Find the Best" chile rellenos in a cover article titled "The Insider's Guide to Mexican Food."

Mr. Cuellar is a three-time gubernatorial appointee. He served as age member of the Citizen's Committee on Property Tax Relief 1996-97. From 2000-2004, he served on the Texas Board of Human Services (DHS). In 2005, he was appointed to serve on the Texas Department of Aging and Disability Services Council.

The Cuellar family was recognized in the December 2002 issue of D Magazine as "one of Dallas' Mexican food dynasties" and was honored as the YWCA of Dallas "Family of the Year" in 1991.

Mr. Cuellar has a BBA from Notre Dame, a Juris Doctor from Southern Methodist University Law School and an MBA from Harvard.
Palmer Keith - Board Member


PALMER KEITH

Palmer Keith is semi-retired doing volunteer work, managing personal investments and overseeing a small company's computer systems and network for the owner, a good friend. Mr. Keith has served on the following boards of directors and was an original investor in all three companies:

* North Texas Convenience Stores, Inc., a successful chain doing business as Hansom Hank's in Fort Worth and the mid-cities area, 1991 to present.
* Keller Building Supplies, Inc., 1989 until it was purchased by a major lumber company in 1995 in a transaction profitable to investors.
* Omni Fund LTD, 1996 until the small convenience store chain doing business as Passport Oil was purchased in 1999 by a larger chain in a profitable transaction to investors.

Mr. Keith became a partner in Automation Image, Inc., a computer dealership that sold PCs, Unix workstations and CAD software as turnkey systems to companies in Texas and Oklahoma. After five years of successful operation, Mr. Keith sold his half of the business to a partner.

Mr. Keith created and managed a research and development group of electrical and mechanical engineers, programmers, technicians and draftsmen for Core Laboratories, Inc. His group tested state-of-the-art oil field computer data acquisition systems which were successfully installed worldwide. One major system encapsulated microcomputer and electronics in a long, small high-pressure cylinder built inside a drill collar to test down-hole conditions while drilling through formations.

After leaving the space program, Mr. Keith developed system tests for Xerox Corp. products in the design stage, developed test programs to detect faulty PC components and PC cards within avionic systems at Lockheed Aircraft Corp. and LTV Corp.

Mr. Keith graduated from the University of Alabama with a Bachelor of Science in Electrical Engineering. While working for the space program, he received a Master of Science in Engineering from the University of Alabama, Huntsville.


TOM MORTON

Tom Morton brings more than 37 years of financial, marketing, city governance, and executive management experience to the Board of Resercom. Currently, Mr. Morton serves as Chairman of the Board of Governors of the Las Colinas Medical Center, board member at Interlink, an institution established by the State of Texas to identify occupations that will be in demand in the next ten years and develop educational programs to address those staffing needs, and a board member on the Interfaith Housing Project.

In the past, Mr. Morton served as mayor of Coppell from 1993 to 1997, and as a Coppell city councilman from 1986 to 1993, board member of Metrocrest Hospital Authority, board member of the Greater Irving/Las Colinas Chamber of Commerce, was the founder and CEO of a direct mail company, as well as held executive positions with several advertising firms.

Previous responsibilities include serving with the United States Information Agency from 1993 to 1996, as a consultant to the Riga School of Commerce in the Republic of Latvia. During that assignment Mr. Morton also aided the Central Bank of Latvia with development of business and banking education, lectured at the Latvia Banking College and the Swedish School of Economics.

Mr. Morton holds a Ph.D and MBA from Western States University for Professional Studies in Missouri. He received a BFA in Radio/Television from the University of Texas at Austin.
